OTH MERCHANT AGREEMENT

Master Merchant Services Agreement
This Master Merchant Services Agreement is made by OTH Enterprise Inc., located at 14 NE 1st Ave, Suite 1400, Miami, Florida 33132, and is between OTH Enterprise Inc. and the venue providing services, referred to as the “Merchant.”
This Agreement becomes effective on the date it is signed by both parties, unless another effective date is specified in writing by OTH Enterprise Inc. and the Merchant. This date shall be referred to as the “Effective Date.”
Scope
This Agreement applies to and is incorporated into any work conditions, quote, purchase order, invoice, or other relevant ordering or purchase document issued during the term of this Agreement.
This Agreement shall remain in effect for three (3) months beginning on the Effective Date, unless terminated earlier in accordance with this Agreement.
Merchant Responsibility
The Merchant is responsible for hosting Creator(s) in a respectful manner upon arrival and during their time at the venue.
The Merchant is responsible for providing the reserved credit amount as stated in the OTH application and for hosting Creator(s) during the agreed-upon days and times outlined in the offer details, as approved by both parties.
The Merchant is responsible for training necessary staff, including hosts, waitstaff, and managers, on the protocols and services provided by OTH.
The Merchant is required to treat all Creator(s) with respect and courtesy, regardless of race, sexual orientation, gender, or any other identifying characteristics.
If there are any technical issues while hosting Creator(s), the Merchant must contact OTH for assistance. In the event of technical issues, the Merchant must honor the credit amount in its internal system and resolve the matter directly with OTH following the reservation.
The Merchant is responsible for keeping contact information up to date with OTH and informing OTH of any changes.
The Merchant is responsible for communicating venue closures, private events, or any conflicts with existing OTH offers.
Offer Cancellation
The Merchant may cancel one claimed offer every three months.
If the Merchant cancels more than one claimed offer within a three-month period, the Merchant’s account may be placed under review.
All canceled offers must be communicated to the Creator at least 24 hours in advance.
Termination of Services
Either party may terminate this Agreement upon written notice to the other party.
If the Merchant would like to terminate services, the Merchant must provide 14 days’ written notice to OTH Enterprise Inc.
OTH Enterprise Inc. may terminate this Agreement immediately if the Merchant breaches any of the terms of this Agreement.
Business App
OTH Enterprise Inc. will provide the Merchant with access to the OTH Business Application.
The Merchant is responsible for adequately training its staff on the applicable protocols and processes.
In the event of technical issues, it is the Merchant’s responsibility to promptly notify OTH for resolution.
The Merchant agrees to abide by the Merchant Terms & Conditions found on the OTH Enterprise Inc. Business Application.
