This Master Merchant Services Agreement, made by OTH Enterprise Inc. located at 14 NE 1st Ave Miami Florida 33132 Suite 1400, is between the company providing the services and the venue (referred to as "Merchant").

SCOPE

This agreement applies to and is included in any work conditions, quote, purchase order, invoice, or other relevant ordering or purchase document issued during the term of this agreement. This agreement shall remain in effect for ( Three ), ( 3 ) months, commencing on (MM/DD/YYYY).

MERCHANT RESPONSIBILITY

Merchant is responsible for hosting Creator(s) in a respectful manner upon arrival and during their time at the venue. Merchant is responsible for providing the reserved credit amount as stated in the app and for hosting the Creator(s) during the agreed upon days and times outlined in the offer details, which have been decided by both parties. Merchant is responsible for training necessary staff, including hosts, waitstaff, and managers, on the protocols and services provided by OTH. Merchants are required to treat all Creators with respect and courtesy, regardless of their race, sexual orientation, gender, or any other identifying characteristics. If there are any technical issues while hosting Creator(s), Merchant must contact OTH for assistance. In the circumstance of technical issues, Merchant must honor the credit amount in their internal system and rectify with OTH directly following the reservation. Merchant is responsible for keeping contact information up to date with OTH and to inform OTH of any changes. Merchant is responsible for communicating venue closures, private events, or any conflict of existing OTH offers.

OFFER CANCELATION

The Merchant may cancel one claimed offer every three months. If the Merchant cancels more than one claimed offer within three months, their account will go under review. All canceled offers must be communicated to the Creator at least 24 hours in advance.

PAYMENT AND PRICING

The Merchant agrees to pay a one-time sign-up fee of $1500 upon commencement of this Agreement. OTH Enterprise charges a 20% transaction fee on claimed offer amounts. The transaction fees will be calculated as 20% of the total spend with a cap at the offer amount stated in the agreement. The merchant is responsible for paying the full amount of transaction fees, and late payments may result in additional fees or termination of services. Any discrepancies in the invoice amount should be reported to OTH Enterprise within 14 days of receipt of the invoice. OTH Enterprise will investigate the matter and provide a written response within 14 days of receiving notice of the discrepancy. Commencing on (MM/DD/YYYY), OTH Enterprises shall invoice the agency for transaction fees on a daily basis, with payment to be remitted via ACH or Direct Deposit.

TERMINATION OF SERVICES

Either party may terminate this agreement upon written notice to the other party. If the business would like to terminate services, it must provide 14 days written notice to OTH Enterprises. OTH Enterprises may terminate this agreement immediately if the merchant breaches any of the terms of this agreement.

BUSINESS APP

OTH Enterprise Inc. will supply the merchant with access to the OTH Business Application. Merchants are responsible for adequately training their staff on the protocols and processes. In the event of technical issues, it is the Merchant’s responsibility to promptly notify OTH for resolution. Merchant agrees to abide by the Merchant Terms & Conditions found on the OTH Enterprise Inc Business Application.
